1. Acceptance of Terms
By accessing or using the Nuo platform, including our mobile applications, web services, IoT devices, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.
2. Description of Service
Nuo is a sleep, recovery, and mental health platform designed to help users improve their wellness through accountability and community. The Service includes mobile applications for iOS and Android, optional IoT hardware devices ("The Hub"), an online storefront for purchasing hardware and accessories, and web-based account management and analytics.
3. User Accounts
You must be at least 16 years of age to create an account and use the Service. Registration is conducted through email magic link or SMS OTP authentication via Stytch. By registering, you represent that all information you provide is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Subscription & Payments
Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually). All fees are non-refundable except as required by applicable law or as otherwise stated in our refund policy. We may change subscription pricing with at least 30 days' notice before the next billing cycle.
5. User Content & Data
You retain ownership of any content you submit through the Service, including meditation logs, check-in responses, and social interactions. By posting content, you grant Nuo a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content solely for the purpose of operating and improving the Service.
6. Intellectual Property
All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, audio, video, software, and the underlying code — are owned by Nuo, Inc. or its licensors and are protected by United States and international intellectual property laws.
7. Prohibited Uses
You agree not to: use the Service for any unlawful purpose or in violation of any applicable laws; harass, abuse, threaten, or harm other users; impersonate any person or entity or misrepresent your affiliation; interfere with, disrupt, or compromise the integrity or security of the Service; attempt to reverse engineer, decompile, or disassemble any aspect of the Service.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
9. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. You may terminate your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect by posting the updated Terms on our website and through in-app notifications. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
